Terms & Conditions of Sale
Effective Date: August 7, 2026
These Terms & Conditions of Sale ("Terms") govern all quotations, sales, deliveries, and services provided by Onsite Medical Training, LLC ("Seller") to the purchaser ("Customer"). By placing an order, accepting delivery, or submitting payment, Customer agrees to these Terms.

1. Authorized Distributor
Onsite Medical Training, LLC is an Authorized ZOLL® AED Distributor and supplies genuine ZOLL Automated External Defibrillators (AEDs), accessories, replacement parts, and related training products.

2. Quotations
All quotations are valid for 30 days unless otherwise stated in writing.
Prices, product availability, specifications, and delivery schedules are subject to change without notice until an order is accepted.

3. Orders
Orders are subject to acceptance by Onsite Medical Training, LLC.
Seller reserves the right to refuse or cancel any order for pricing errors, product availability, suspected fraud, or other legitimate business reasons.

4. Pricing
Prices are quoted in U.S. Dollars.
Published prices do not include:
  • Sales tax
  • Shipping
  • Insurance
  • Installation
  • Training
  • Inspection services
  • Maintenance
  • Government fees
Unless specifically listed on the quotation or invoice.
Customer is responsible for all applicable taxes unless a valid tax exemption certificate is provided.

5. Payment Terms
Unless otherwise agreed in writing:
  • Payment is due upon receipt of invoice.
  • Accepted payment methods include ACH, business check, certified funds, and approved credit cards.
  • Returned checks are subject to a $35.00 service charge.
Commercial accounts approved for credit shall pay invoices according to agreed credit terms.
Past-due balances may accrue interest at the lesser of 1.5% per month (18% annually) or the maximum rate permitted by Louisiana law.
Customer is responsible for reasonable collection costs, including attorney fees and court costs where permitted by law.

6. Shipping & Delivery
Shipping dates are estimates only.
Seller is not liable for delays caused by:
  • Manufacturer shortages
  • Carrier delays
  • Weather
  • Natural disasters
  • Government actions
  • Labor disputes
  • Supply chain interruptions
  • Events beyond Seller's reasonable control
Risk of loss transfers to Customer upon delivery to the shipping carrier unless otherwise required by law or agreed in writing.

7. Inspection of Products
Customer shall inspect all products immediately upon delivery.
Claims involving shipping damage, shortages, or incorrect merchandise must be reported within:
  • 48 hours for shipping damage
  • 7 business days for shortages or incorrect shipments
Failure to notify Seller within these time periods constitutes acceptance of the shipment.

8. Returns
All returns are governed by the Onsite Medical Training, LLC Refund & Return Policy.
No returns will be accepted without a Return Merchandise Authorization (RMA).

9. Product Warranty
New ZOLL AEDs are covered solely by the manufacturer's limited warranty.
Onsite Medical Training, LLC does not provide any warranty beyond those expressly provided by the manufacturer.
Seller will assist customers with warranty claims, troubleshooting, and coordination with ZOLL Medical Corporation.

10. AED Registration
Customers are responsible for properly maintaining their AED in accordance with manufacturer recommendations and applicable federal, state, and local laws.
Seller recommends registering all eligible products with the manufacturer where applicable.

11. Training
Unless specifically included in the purchase agreement, AED purchases do not include CPR, AED, or First Aid training.
Training services are billed separately.
Completion of training does not constitute medical direction or legal compliance for Customer's AED program.

12. Maintenance Responsibilities
Customer is solely responsible for:
  • Routine inspections
  • Battery replacement
  • Electrode replacement
  • Software updates
  • Readiness checks
  • Compliance with applicable regulations
  • Medical oversight where required
Failure to properly maintain an AED may affect device performance and manufacturer warranty coverage.

13. Limitation of Liability
To the maximum extent permitted by law, Onsite Medical Training, LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, business interruption, or claims arising from the use or inability to use any product.
Seller's total liability shall not exceed the purchase price of the product giving rise to the claim.

14. Force Majeure
Seller shall not be liable for delays or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, labor disputes, supplier shortages, transportation interruptions, or other unforeseen events.

15. Governing Law
These Terms shall be governed by the laws of the State of Louisiana without regard to conflict-of-law principles.
Any legal action shall be brought in a state or federal court located in Lafayette Parish, Louisiana, unless otherwise required by applicable law.

16. Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement
These Terms, together with the applicable quotation, invoice, purchase agreement, and Refund & Return Policy, constitute the complete agreement between the parties and supersede all prior oral or written understandings.
No modification shall be effective unless made in writing and signed by an authorized representative of Onsite Medical Training, LLC.

Legal Notice

All notices from Onsite Medical Training to You may be posted on our Website and will be deemed delivered within thirty (30) days after posting. Notices from You to Onsite Medical Training shall be made either by regular mail, sent to the address we provide on our Website, or first class mail to our address at:
Delivery shall be deemed to have been made by You to Onsite Medical Training five (5) days after the date sent.

Shipping and Delivery

At this time, Onsite Medical Training ships merchandise to locations within the United States and U.S. territories, including Alaska, Hawaii, Puerto Rico, Guam, and the US Virgin Islands. Additionally, Onsite Medical Training ships merchandise to Canada and Mexico, but not to other international locations. The risk of loss and title for all merchandise ordered on this Website pass to you when the merchandise is delivered to the shipping carrier.

International

Customs and import duties may be applied to International orders when the shipment reaches its destination. Such charges are the responsibility of the recipient of your order and vary from country to country. Contact your local customs office for details.

Shipping laws are different in each country. It is your responsibility to check with your Customs office to verify whether the country to which you are shipping permits the shipment of your products. Onsite Medical Training is not responsible for any direct, indirect, punitive, or consequential damages that arise from improper international shipping practices.

Sales Tax

Onsite Medical Training charges sales tax for merchandise ordered on this Website based on the applicable state sales tax rate and the location to which the order is being shipped.
